The Regional Legal Counsel is crucial in providing top-tier legal services and expertise to Stryker ASEAN, Hong Kong & Taiwan as part of the larger East Asia (EA) region. This role is pivotal in maintaining strict compliance, managing legal documentation effectively, and streamlining contract processes across various businesses. Additionally, the Regional Legal Counsel enhances the effectiveness of Stryker's Compliance Program, overseeing all related activities and initiatives within the region.

Key responsibilities

Serve as the primary legal point of contact for all legal matters related to ASEAN & HKTW, which includes contract drafting and documentation, providing compliance advice, and managing contractual disputes and litigations in the assigned jurisdiction.

  • Draft and review complex commercial agreements, and participate in negotiations to ensure the legal rights of Stryker are protected.
  • Collaborate with all legal and compliance colleagues across EA, APAC and global.
  • Provide counsel and advice in acquisition & integration activities and support the implementation of integration strategies.
  • Ensuring implementation of appropriate agreements for surgeon consultancies, research, sponsorship and fellowships and ensure that appropriate compliance principles are included and that compliance standard operating procedures are followed.
  • Draft and oversee the negotiation of various agreements, including tender agreements, hospital supply/pricing agreements, and consignment and loan kit agreements and proactively handling various commercial matters through to resolution.
  • Provide advice on employment related issues and assess when/if external legal advice may be required.
  • Provide counsel and guidance in navigating local laws and regulations that directly and indirectly impact the various businesses.
  • Provide counsel and advice for the termination of distributors, agents, and other third parties, including negotiation and drafting of termination and settlement agreements.
  • Monitor legal developments across the region, provide updates to the various stakeholders and drive actions to address such developments internally.
  • Advise the business on laws, regulations, and Stryker policies with strong knowledge of the US Foreign Corrupt Practices Act (FCPA) and the MedTech Europe Code of Ethics.
  • Instruct external counsel in litigation and other legal matters, and monitor as appropriate.
  • Review and establish standard forms for agreements in the region.
  • Assist and support Stryker’s compliance programs and work closely with the Compliance Officers in this area, including serving as a member of the Compliance Committee.
  • Actively participate in the projects and work undertaken by the Legal and Compliance Department team in EA including regular reports to the Senior Regional Counsel.
  • Initiate, develop and provide in-house training and education.
  • Actively input and participate in the ongoing development and improvement of internal processes

Requirements

  • Advanced law degree. Admission to the bar preferred.
  • 5 to 8 years of applicable professional experience within a law firm or a legal department of large global organizations.
  • Excellent command of English and good command of Mandarin (to work with stakeholders in Taiwan). Command of additional ASEAN language is advantageous.
  • Prior experience in healthcare / Medical device industry strongly preferred.
  • Demonstrates strong judgement, professional demeanor, business acumen and executive presence.
  • Strong analytical and drafting skills, providing timely legal advice in a highly regulated industry.
  • Excellent communication skills with ability to convey complex legal principles clearly and concisely.
  • Good interpersonal skills and adept at communicating with and managing stakeholders at all levels in the organization, including senior leaders.

  • Demonstrated ability to lead projects in collaboration with regional or global counterparts and cross functional stakeholders.
