Job Description

The Mergers and Acquisitions Counsel -- to be based in Mahwah, New Jersey -- will support the Company’s Business Development Group and will act as a subject matter expert and provide guidance on business development activities, including complex transactions, both domestically and internationally. 

Duties and Responsibilities:

  • Drafts, edits, negotiates, reviews and interprets agreements and contracts and handles matters through to resolution
  • Manages the development and implementation of legal strategies relating to business development activity
  • Facilitates the development of programs to mitigate risk and address potential liabilities
  • Develops and provides in-house training and education
  • Provides timely advice and counsel to senior management by advising the business on laws, regulations and Stryker policies
  • Takes full accountability for functional group needs by networking effectively to achieve resolution of matters outside of direct subject matter expertise or responsibility
  • Collaborates and communicates with colleagues, senior management and outside counsel
  • Manages and strategizes with outside counsel
  • Develops and recommends innovative process improvements to address business needs
  • Identifies and resolves highly complex legal, regulatory and business issues

Education & Training

  • Juris Doctorate (J.D.) degree with a strong academic record.
  • Admitted to the Bar of at least one state and eligible for admission to the New Jersey Bar as in-house counsel

  • Minimum 7 years applicable professional experience (can be a combination of law firm and in-house; some in-house experience preferred but not required)

  • Has a general understanding of business financials and reporting
  • Has the ability to allocate resources effectively and, where relevant, general understanding of the budgeting process, expense and headcount management
  • Possesses strong organizational skills and is able to manage numerous projects and conflicting demands in a fast-paced environment
  • Possesses strong interpersonal skills and ability to communicate at all levels of corporate organization
  • Maintains discretion with confidential information
  • Demonstrates proficiency in the Microsoft Office suite
