Responsibilities and duties

The incumbent will be required to draft and, where required, translate, correspondence, legal contracts, letters of agreement, and other legal documents. Follow the established procedures and guidelines of the legal profession to provide timely and effective support to a legal team. Provide translation and interpreter services at meetings, negotiations and other legal proceedings.

Experience/skills required

•Managing  all secretarial matters relating to the company under corporate laws for India and ensuring timely statutory filings and reporting which shall include :

•Preparation of Circular Resolutions, Notice Agenda, Information Packs, Annual Reports , compounding application  and Minutes of Board Meetings, and other committee meetings•Conducting the Board meetings, Shareholders meeting and preparation of Minutes of the meeting/issuing extracts thereof•Maintenance of statutory registers and records of the Company

•Carry out all the filings with various authorities in a timely manner Coordinate and follow up with lawyers, internal customers, CEOs and accounts team•Advising and  on the Merger,  internal restructuring, transfer of shares, FDI related compliance , related party transactions  Handling non-compliance, compounding etc.

•Drafting, editing  and negotiating basic contracts such as Addendum’s, renewals, non-complicated, POAs, NDAs, and work on contract management process including maintaining standard contract templates, maintaining repository, follow up for renewals, maintaining and periodically updating standard templates and posting them on Intranet, conduct basic training for SOW drafting, assist Regional Counsel on contract related issues.

•Advise business teams around applicability and requirements of various corporate and other local law including employment laws, practices and policies.

•Track compliance of various Legislation & Guidelines issued by the Corporate including RBI compliance, DOAs, all Push down plan laws. Developing mechanism of detecting, reporting non-compliance to the Board•Designing monthly legal updates for business and sharing relevant changes and/or amendments in the existing law or any new law that may affect the business of the Company These include, but are not limited to Stryker Corporate Policies and Procedures, industry trends and guidance on country, state/provincial or local laws.

•Provide   support related to the development of in-house training and education on various legal matters.

•Working with outside legal counsel for drafting recovery legal notices, response to Legal notices, recovery Suits under summary proceedings and notices under Negotiable Instruments Act•IPR management including review of FFL, Patent, trademark & Copyright applications and liaison with outside counsel in this regard. Working with IPR committee to run the IP program at SGTC R&D.

•Following internal processes and policies including legal policies and procedures like Standard Operating Procedures (SOPs) and assist in managing and implementing such policies and procedures, as required.
